Major Duties and Responsibilities

• Provide day-to-day legal support across the Bank’s operations, including drafting legal documents, preparing legal analyses, and interpreting applicable laws and regulations;
• Review business decisions and activities to ensure legal compliance and mitigate risks;
• Draft, review, and negotiate a wide range of agreements, including credit, deposit, treasury, collateral, pledge, mortgage, and guarantee agreements, as well as corporate documentation;
• Support business units in structuring and implementing transactions, products, and services from a legal and regulatory perspective;
• Prepare legal opinions, memoranda, and recommendations related to transactions and business initiatives;
• Participate in negotiations with clients, counterparties, and financial institutions;
• Provide legal support in managing and executing agreements, powers of attorney, addenda, and other legal documentation;
• Ensure the Bank’s policies, procedures, and documentation are compliant with applicable legislation and regulatory requirements (including NBG regulations);
• Represent and protect the Bank’s interests before public institutions, regulatory bodies, and third parties.

Qualifications Required:

• Education: Bachelor's degree in law, Master of Laws degree preferred;
• Work Experience: Minimum of 3 years work experience as a lawyer particularly in Private Law (Bank or a Financial institution);
• Languages: Fluent knowledge of the Georgian and English languages ; Knowledge of Russian is Preferably;

• Technical knowledge and skills: Knowledge of Civil Code of Georgia, Law of Georgia on Activities of Commercial Banks; and regulatory legislation governing commercial bank activities.
